The resolutions were all passed on a poll, with votes cast in accordance with proxy voting instructions submitted to the Company by the relevant deadline, together with those cast at the AGM itself, and will be available on the National Storage Mechanism, https://data.fca.org.uk/#/nsm/nationalstoragemechanism.

Share Consolidation
At the meeting, inter alia, a resolution was passed which approved the consolidation of 92,822,307 existing ordinary shares (“Existing Ordinary Shares“) of no par value on a 25 into 1 basis, such that every 100 Existing Ordinary Shares are consolidated into 4 ordinary shares. As a result of the approval of the Share Consolidation, the Company will have 3,712,309 new Ordinary Shares in issue (“New Ordinary Shares“). Admission in respect of such New Ordinary Shares to the standard segment of the Official List of the FCA and to trading on the Main Market for listed securities of the London Stock Exchange will become effective and dealings in those New Ordinary Shares will commence on 14 June 2024. As a result of the Share Consolidation, the ISIN of the New Ordinary Shares will change from IM00BKDM2T52 to IM00BRF2WV49.
The above figure of 3,712,892 should be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Financial Conduct Authority’s Disclosure Guidance and Transparency Rules.
